Advertising Terms
These Advertising Terms govern advertising and sponsorship services purchased from Holland Happenings by an advertiser, sponsor, agency, or other purchaser. They apply to any advertising order, campaign confirmation, proposal, insertion order, invoice, or other written agreement that references them.
Each advertising campaign will be described in an invoice, proposal, campaign confirmation, insertion order, or similar written communication (“Order”). An Order may identify campaign dates, placements, frequency, sponsored content, website or social promotion, pricing, creative requirements, exclusivity, and other campaign-specific terms. If an Order conflicts with these Terms, the Order controls.
Unless otherwise stated in the Order, payment is due before the first scheduled advertising placement. Holland Happenings may postpone or cancel advertising that has not been paid for as agreed. Payment is for the agreed advertising services and does not guarantee any particular number of leads, sales, customers, clicks, conversions, or other business results.
Advertiser agrees to provide requested logos, images, links, offers, copy, and other creative materials by the requested deadline. Holland Happenings may assist with writing or designing advertising content and retains final approval over the appearance, wording, format, and placement of advertising. Advertising may be rejected or revised if it is reasonably believed to be misleading, unlawful, offensive, inappropriate for the audience, or inconsistent with Holland Happenings editorial standards.
Advertiser represents that it has the right to use all trademarks, logos, photographs, claims, promotions, and other materials it supplies. Advertiser is responsible for the accuracy and legality of claims concerning its products, services, prices, promotions, qualifications, insurance coverage, financial products, health-related claims, or other representations. Holland Happenings’ assistance in preparing advertising copy does not transfer responsibility for the accuracy of the advertiser’s underlying claims.
Holland Happenings may identify paid advertising using language such as “Sponsored,” “Advertisement,” “Paid Partner,” “Sponsored by,” or similar disclosure, and retains discretion over the format of those disclosures.
Purchasing advertising does not entitle an advertiser to favorable editorial coverage and does not prevent Holland Happenings from reporting independently on businesses, organizations, events, industries, or topics relevant to readers. Editorial coverage is separate from paid advertising unless expressly identified as sponsored content.
No advertising relationship is exclusive unless exclusivity is expressly stated in the applicable Order. Any exclusivity provision must identify the protected category, beginning and ending dates, and the Holland Happenings channels covered.Unless an Order specifically states otherwise, exclusivity applies only to advertising sold directly by Holland Happenings and does not restrict independent editorial coverage, unpaid community listings, organic mentions, reader recommendations, businesses outside the defined competitive category, or automatically served third-party advertising or advertising-network placements. Broader exclusivity may be negotiated and priced separately.
Holland Happenings will make reasonable efforts to publish advertising on the dates identified in the Order. Minor changes to positioning, formatting, or publication timing that do not materially reduce the value of the campaign will not constitute a breach of the agreement.
If Holland Happenings fails to deliver a paid placement included in the Order, it may reschedule the placement, provide a substantially equivalent replacement placement, or refund the portion of the campaign price reasonably attributable to the undelivered placement. Holland Happenings will not be responsible for losses exceeding the amount paid for the affected advertising.
Unless otherwise stated in the Order, an advertiser may cancel a campaign at least seven calendar days before the first scheduled placement. Any non-refundable payment-processing fees may be deducted from a refund. Campaigns canceled fewer than seven days before the first scheduled placement may, at Holland Happenings’ discretion, be rescheduled or converted to advertising credit rather than refunded. Custom cancellation terms included in an Order will control over this section.
When available, Holland Happenings may provide campaign information such as newsletter distribution, opens, clicks, click-through activity, or other advertising metrics. Such figures may rely on third-party technology and are provided for informational purposes. Holland Happenings does not guarantee the accuracy of third-party attribution or any particular campaign outcome.
Advertiser grants Holland Happenings a limited license to use the advertiser’s name, logo, trademarks, images, promotional material, and approved advertising content solely as reasonably necessary to produce and distribute the agreed campaign. Advertiser retains ownership of its intellectual property. Holland Happenings retains ownership of its branding, editorial content, designs, audience data, and other publisher intellectual property.
To the fullest extent permitted by law, neither party will be liable to the other for indirect, incidental, special, consequential, or lost-profit damages arising from an advertising campaign. Holland Happenings’ aggregate liability relating to an Order will not exceed the amount actually paid to Holland Happenings under that Order.
Holland Happenings will not be liable for reasonable delays or failure to perform caused by events beyond its reasonable control, including technology outages, email-platform failures, internet failures, severe weather, governmental action, or similar circumstances. Reasonable efforts will be made to provide an appropriate replacement placement when practical.
Unless otherwise agreed in writing, these Terms and related Orders will be governed by the laws of the State of Michigan.
The parties agree that electronic communications, electronic signatures, online proposal acceptance, and electronic payment may be used to evidence acceptance of an Order and these Terms.
These Terms together with the applicable Order constitute the agreement between Holland Happenings and the advertiser concerning the campaign and supersede prior discussions concerning the same campaign. Changes must be agreed to in writing by both parties.
